Paperwork, specifically legal documents, is a prerequisite to
buying any business. It doesn’t make any difference if you buy
a business once in your life or do it all the time, every
business acquisition purchase contract is different and
requires intense scrutiny on the part of the business buyer,
much more so than the business seller.

As a business buyer, each and every sentence within the business
purchase contract needs to be read, understood and agreed to
before you sign on the “dotted line”. This article will give
the business buyer a quick “fly-over “of the most significant
concepts one should understand relative to development and
eventual execution of any business purchase contract.

“He Who Writes, Wins!”

If you have been consistently exposed to business contracts in
your career, you quickly learn to appreciate the concept that,
in development of most complex business agreements, “He who
writes, wins!” Any attorney will tell you that it is always in
his, his client’s, best interest to be the author of the
business contract to be signed in a two party agreement. As a
business buyer, you want to be the writer of the purchase
contact. If you personally cannot effectively write one, invest
the money and have a competent contract lawyer write a purchase
contract on your behalf. If the business seller, or their legal
counsel writes the business purchase contract be sure you and
your attorney evaluate every detail within.

Always Maintain a “Paper Trail”

Given the extraordinary amount of capital involved in most
business mergers or acquisitions, coupled with the wide range
of people, conversations, meetings and iterative business
evaluation steps involved to effectively buy a business, it is
imperative for the business buyer to maintain ongoing, copious
notes of all related events and communication exchanged between
themselves and the business seller or their designated
representative, throughout the purchase process.

There are three significant advantages for the business buyer in
maintaining a paper trail of notes during the purchase process:
1) All key agreement points can be traced to a specific buyer/
seller conversation, 2) If something is written, it can be
improved upon by either party, if it is not documented, the
likelihood of refining the content is significantly reduced, 3)
Sometimes related records can be incorporated into the final
business purchase contract as an addendum or attached exhibit

“Buyer Beware!”

As a business buyer, you like to think that all business sellers
are honest, forthright and have genuine intentions of
developing a mutually beneficial business purchase contract.
Most business sellers are! However, like in any complex asset
purchase agreement, neither party knows what negative future
consequences may surface in the ownership of the sold asset.
More often than not, in a business purchase contract, it’s the
business buyer who exclusively must address the problem not
thought of or included in the final purchase contract. The
negative consequences of many common business misfortunes can
be reduced, shared between the business buyer and seller, or
eliminated altogether with proper business purchase contract
contingency language

Fundamental Business Purchase Contract Concepts

Listed below are some fundamental business purchase contract
concepts that any prudent business buyer will want to
incorporate in their legal due diligence and documentation
fulfillment:

Astute business buyers never present an offer to purchase
a business without preceding it with a nonbinding “Letter of
Intent” to purchase. (If you are not familiar with the
purpose or advantages of use of a “LOI”, you must research
this topic)

Never make a purchase offer and certainly never sign a
purchase offer or make an earnest money deposit until after
you completed most of the due diligence required to
effectively evaluate the business for sale.

No business purchase terms should ever be communicated to
the business seller without a written statement from the
business buyer to the seller, specifically documenting,
“that any, and all, purchase terms are subject to analysis,
justification and confirmation by an independent business
appraisal entity, employed and paid by the business buyer”.

Be suspect of “canned” business purchase contracts
provided by the seller’s broker or representative, they are
typically “seller biased”

Be sure to negotiate a reasonable time period to evaluate
and approve all documents provided to you from the business
seller or their representative for your required due
diligence

Invest in an environmental analysis of the business
premises and keep the business seller “on the hook” for any
future environmental $ penalties or negative consequences
realized as a result any documented negative environmental
conditions made prior to the sale of the business

If something does not make sense to you, ask, make sure
you understand every detail

Utilize all the expertise available to you from your
intended primary lender on the deal

If there are noteworthy levels of inventory and assets
involved, inspect each item and use credible valuation
expertise to determine approximate market value. This can
represent significant dollars to you in the future as the
business owner.

All current legal encumbrances or extraordinary
liabilities should remain the responsibility of the business
seller

Any discovered misrepresentations associated with
documents provided by the seller or their designated
representative to the business buyer, that surface in the
future operation of the business should remain “fair game”
for financial resolution, from the seller to the buyer, post
purchase

All records provided by the seller or their designated
representative, to the business buyer should become an
purchase contract addendum or exhibit and be subject to
seller warranty of accuracy

Lastly, there are published business purchase contract
content “checklists” available, take the time to review
these, especially business seller warranties and
representations

Typical business purchase contracts prepared by business sellers
or their representatives often contain many provisions which
are dangerous to business buyers. In many cases it is not what
is written that is of greatest concern, it is what is omitted
that represents a potential time bomb that will eventually
explode long after the business seller has left town with your
money. Take the time, invest the money, expend the necessary
thought required to structure a mutually beneficial business
purchase agreement with the business seller!

Mandy and Evan consulted with me for couple’s counseling because they were always bickering. Every little thing seemed to become an issue between them. They loved each other very much, but the bickering was certainly getting in the way of enjoying each other.

I ask Mandy and Evan to come up with some recent conflicts so I could experience what was happening between them. They had conflicts over time, money, child rearing, family, and chores. The dynamic between them was the same no matter what the issue: One of them would complain about something - like the house being messy or the other person not being on time, and the other would argue, explain and defend. Then they would go back and forth, each one defending and explaining their position. Neither one listened to the other or even seemed to care about the other’s feelings or position. They would each get locked into their positions, seeing themselves as right and trying to convince the other person to see it their way. They had what I call a “control-resist system.”

In this system, one person approaches the other with an intention to win, to be right - to control. The other person, not wanting to be controlled, goes into resistance. One is trying to win and the other is trying not to lose. One is trying to be right and the other is trying not to be wrong. As long as their intentions were to control and not be controlled, they were stuck. They had no way of reaching resolution on any of their issues.

While Mandy and Evan loved each other, caring was not a part of this system. As soon as an issue came up, they stopped caring about themselves and each other. They were so intent on winning or not losing that caring went out the window.

“At any given moment,” I said to them, “you are either in the intent to control or the intent to learn. The problem is that both of you immediately choose the intent to control, which will always result in bickering. Mandy, I’d like you to try right now to listen to Evan’s concerns about the messiness of the house. See if you can find a place of caring about his feelings. See if you can really listen and see it through his eyes. Then I will have him do the same for you.”

As Mandy really listened to Evan with caring and a desire to learn, she began to understand his frustration. For the first time, Evan felt really heard regarding this issue. Then Evan really listened to Mandy, trying to see things through her experience. They found that as they each began to understand the other’s feelings and experience, new ideas came up to resolve the problem.

Being in the intent to learn is about learning rather than about solving problems. Resolution may be the outcome or it may not, but the new learning will inevitably lead to positive change.

Often, people are reluctant to listen to each other for fear of losing themselves. They fear that if they listen to the other person, they will appear to be weak and will get taken advantage of. But the intent to learn is not just about listening to the other - it is also about listening to yourself and learning to stand in your own truth without having to impose it on another. If you are caring about both yourself and the other person, then you will not end up losing yourself in the conflict.

The intent to learn is about being in compassion for both yourself and your partner. When caring and compassion are more important than winning and being right, you will find a way for both of you to win.

Next time you are having a conflict, ask yourself, “Am I trying to control or am I willing to learn?” Even if your partner continues to try to control when you move into compassionate learning, you will discover new inner power, strength and wisdom that is far more satisfying than winning or losing. You will be able to move beyond the bickering as you learn to listen while standing solidly in your truth.

I get weird, morbid pleasure sometimes out of talking to my husband about cheating. Affairs. Scandals. I can’t help but bring it up while casually scanning his eyes for a glimmer of guilt, looking for a certain reddening around the collar, trying to catch the whiff of women’s perfume when he leans in to hug me and promises he’d never, ever forsake me for anyone else.

Despite continued vigilance, I’ve yet to find any clues that my husband is fooling around. The deepest recesses of his closet hold only lint balls. The messages on his voice mail at work are dull and mundane. The credit card statement contains no mysterious charges, besides the revelation that Hubs eats far more barbeque for lunch than he admits to. Okay, okay, I can be a snoop- but only after I’ve watched an episode of Cheaters and gotten tears in my eyes as Two-Toned Tammy screams “We got a baby together! We got a baby together! How could you do this to me!” at her philandering boyfriend-of-six-years after catching him in the Popeye’s parking lot with her roomate/sister/best friend.

I’m not alone in my snooping, either. Hubs likes to show up in the middle of the day sometimes, unannounced, just to “see what I’m up to.” When I went out of town with the kids a few months ago, I returned home to discover that he’d gone through my entire bathroom cabinet, searching for God-knows-what. He’s also admitted to Googling my ex-boyfriends. I find this kind of thing flattering. I’ve told Hubs I don’t ever want a boyfriend. But I’ve admitted that I would really like an admirer.

My admirer would be quite handsome, enough to give my husband pause, but he’d also be an advocate of courtly love and would have a “look-but-don’t-touch-EVER-not-even-when-you’re-both-a-little-drunk-and-there’s-no-one-around” kind of sensibility.

Instead, my admirer would content himself with sending me flowers (Casablanca lilies) and boxes of candy (Godiva) and books of poems (Neruda), with notes that say things like, “When I saw you in carpool this morning with the sun in your hair, I realized I had never seen anyone or anything more beautiful.” Or “You fold a fitted sheet with a grace and perfection that others can only dream of. Thank you for being you.” Or even “You are the hottest soccer mom this side of the Mississippi. Ah-OOO-gah!” I’m not particular. It’s the thought that counts.

My husband might not like all the attention my admirer would give me, but he’d have to tolerate it because he has plenty of admirers of his own. The nature of his job is such that people are constantly coming up to him and telling him how great he is. He loves to tell me these stories, to which I counter with something like, “Oh the same thing happened to me today. I was at the supermarket and this total stranger walked up and said, ‘I just love your ability to save at least 25% on your grocery bill every time you shop!’” Hubs generally snorts derisively while I quietly seethe. But my admirer would put a stop to this kind of behavior.

“Hubs,” he’d say, taking my husband’s hand and shaking it heartily, “I hope you know you’re a very lucky man.” Hubs would look slightly uneasy as he noted the firm handshake and kind eyes of my admirer. That night, Hubs would turn up with a large bouquet of his own and an offer of dinner and dancing. Or dinner and drinking, which is more our style.

“Admirer,” I’d say as he called me on the phone for the fifth time in a week, just to hear the charming lilt of my voice, “I really can’t accept your gifts anymore. You’ve been simply wonderful, but between you and me, I think Hubs is getting a little jealous.”

“Lucinda,” he’d whisper with just the right blend of regret and compassion, “I will be content to admire you from afar, if that’s what it takes to make your life easier. But I have devoted my life to you- and the evidence of that will be impossible for either of you to ignore.” Regretfully, we’d both hang up the phone.

After weeks of not hearing from my Admirer, my husband would silently bring me a copy of the Living section of the newspaper. “Local Artist Receives International Recognition for “Lucinda” Series”, the headline would read. Pictured beside his oil painting called “Lucinda with the Sun in Her Hair” would be my Admirer, his searing, questioning eyes burning through the newsprint.

A short time later, I’d be named Parent Magazine’s Mother of the Year based on an anonymous submission. Hubs would try to pretend he mailed in the entry, but the editor’s admission that my “ability to artfully manage the lives of my husband and three children while radiating an amazing inner calm and stunning the locals with my otherworldly beauty” set me apart from the other entrants would clue me in on who was really responsible for my resulting photo session and free trip to New York.

By the end of that year, “Lucinda (Love of My Life)” would top the Adult Contemporary music chart.

I’d join the super exclusive ranks of world famous muses. Occasionally, Vogue or Vanity Fair would do short pieces on me, despite my wish to remain anonymous. The only photos they’d be able to secure would be of me rushing between my minivan and my front door, using one arm to balance Baby and a bag of soccer balls and holding up the other in front of my oversized-sunglasses-and Pucci scarf-covered face. Yet readers would note the winsomeness in my frown, the hurried spring in my step. Soon, I’d have Admirers showing up at my door from all parts of the globe.

So you see, what’s an affair really besides some hurried bonking and a lot of postcoital guilt? An admirer is really the way to go. If you know of any good candidates, I’d be happy to review their qualifications…

Successful entrepreneurs know that once they have a business they have access to an unlimited number of additional opportunities. Every customer, every supplier, every employee — everyone they meet is both a bird-dog to opportunities and an opportunity just waiting to be nurtured.

Customers may have other needs beyond just the products and services they buy from your business. Suppliers may need more help (money and talent) to grow their businesses. Employees may want to start their own business and be looking for investors or ways to have the administrative work taken over by someone else. The banker may welcome the chance to introduce you to another of the bank’s clients who needs help. Everyone you meet at a trade show or an association meeting is a candidate for a partnership in a distant territory.

All of these people are resources you know; individuals with strengths and weaknesses you have already figured out how to deal with. All the time you spent investigating opportunities when you were looking for your first business now pays off again. That’s right, besides knowing how to do it better and in most situations quicker, you have direct relationships with prime possibilities.

But there is a kicker. These only bear fruit if you have handled your business well, if you have dealt fairly and honestly with all you came in contact with while building your business.

Once you establish a reputation as someone who can make things happen, as someone who can make a business successful and who is honest and easy to work with and for, people will seek you out. You will have become one of those fortunate few who seem always to be in the right spot at the right time.

When you reach this position you become a participant in a group within your industry that should be trying to expand the industry and their role in the industry. They may be planning to merge and create a bigger company — perhaps one that could go public. You become the person suppliers talk to about customers they are having problems with. One or more suppliers might provide the entrée to customers so you can either help them for a fee (and a percentage) or buy them out for less than the business might normally sell for.

Once you reach the position of a successful businessperson, your phone will ring and when you finish the conversation you will find yourself smiling — wondering how the caller heard about you. Yes, in many respects you will have achieved “star” status.

But that’s rarified air you will start breathing. That’s when it’s so easy to believe that you are really good, even better than you think you are. That’s when you have to become more diligent, pay closer attention to all that you have learned.

First, don’t forget the home front, your business, that which made these opportunities appear. It’s easy to start paying lip service to the controls you have put in place. It’s easy to stop paying attention to the people who still need your leadership, to the business that still needs your vision and your attention to the details. That’s when you want to be sure you know how your customers are doing before they have a problem.

Second, always remember that all of those opportunities come with their own set of problems and risks. And remember that everybody you talk to has his or her own agenda and making you more successful comes second. Their primary objective is to either save their bacon or to figure out how to make money from your talent.

Reaching this point in your career is the time when you need to reign in your ego and become as deliberate and careful as when you were first starting out. In many ways it’s a lot like riding a motorcycle.

Freezing is also known as crashing or hanging. It’s frustrating. The computer locks up and the mouse and keyboard do not respond. You may lose data and you certainly lose time and patience. Typically, you need to press Ctrl+Alt+Del to see the programs that are running and to try to close the program that is not responding, or you need to force a restart. So why does your computer freeze up?

Common causes of freezing:

  • Low memory

  • Low disk space

  • Fragmented disk

  • Too many programs open simultaneously

  • Low CPU speed

  • Corrupt files

  • Software bugs

  • Overheating - random lockups that start several minutes after you start up the PC are often the result of the processor cooling fan not working properly

  • Some non-standard applications are suspect with freezing problems

  • Memory chip problems

  • Virus infection

Steps you can take to minimize freezing:

There are many things that you can do to help your computer do what you want without testing your patience…

  • Do a disk cleanup (cache, temp files, old or unused files, recycle bin) .. click here for instructions.

  • Do not run any more applications at one time than you need to.

  • If the freezing happens consistently with one application, uninstall and reinstall it - files associated with the application may have become corrupted. Always use Control Panel/ Add Remove programs, or the uninstall program belonging to the program to uninstall a program.

  • If the freezing has been occurring since you installed a new program, uninstall it.

  • Uninstall any programs that you may have downloaded and installed in the past, but no longer use.

  • Get the latest Windows update at http://windowsupdate.microsoft.com

  • Get any available patches for your software - go to the manufacturer’s websites to check for patches or updates to your programs.

  • Free up resources - click on Run and type “msconfig” in the dialog box. Next, click on the “Startup” tab. All the programs listed here with check marks are running in the system memory. To free resources Windows 98 users may uncheck everything except “System Tray” . Windows ME users can uncheck everything except ScanRegistry, PCHealth, *StateMgr and System Tray. Leave your anti-virus software in the startup as well. You must restart the computer for these changes to take effect.

  • Run ScanDisk (or Check Disk in Windows XP)

  • Defragment your disk. Click here for instructions.

  • If you have an older computer and are trying to run multiple applications, you may need to upgrade your computer… check the system specifications recommended for the applications you are running to see if your system is capable of doing what you are asking.

  • Obtain the latest drivers for your hardware - go to the web sites of the hardware manufacturers and get the latest drivers for your video card, sound card etc

  • Redetect your devices - remove the components from the Control Panel, System, Device Management screen. Reboot the system and let Windows redetect and add only those devices which are actually on your system.

  • Make sure that you have anti-virus software installed. Set it to automatically update virus definitions, to scan all incoming files, and to do a full system check at regular intervals.

Disk Cleanup :

For Windows 98 & 2000

You have probably been downloading programs, creating and deleting files, and installing new software without thinking about the effect this has on your disk space. It’s probably time to have a clean-up. Windows 98 and 2000 have a feature that cleans up your disks for you. It removes temporary files, the recycle bin and other files - giving you the option to delete or not to delete. It is simple to run.

Do this clean-up as follows:

Start: Programs: Accessories: System Tools: Disk Clean Up

When it opens up, select the C: Drive and start it. It will pop up and show you about four types of files, each with a check box. Check the boxes for files you would like deleted and proceed. It should run through pretty quickly and then you will have more space on your computer.

For Win 95

Windows Temporary Files

Firstly, get rid of your Windows Temporary files.

Go to Start> Find> Files & Folders. Then search for “*.tmp” (minus the quotes). The * allows you to look for any file that has a temporary file type. If you have done it right, only files that have a .tmp after them should appear in the search results. Now just click on the first one, hold shift, use the scroll bar to go all the way to the bottom, then click on the last one, and press delete.

Secondly, get rid of your Temporary Internet files

Go to the Temporary Internet Files folder in the Windows directory. It should be next to the Temp folder. There shouldn’t be anything in here that can’t be deleted, so you can go ahead and delete the files in this folder.

Thirdly, empty your recycle bin. Right click on the Recycle Bin icon, select Empty Recycle Bin. Many people have hundreds of files they “deleted” but they are still taking up space in the Recycle Bin.

Run the Disk Defragmenter

Editing and deleting files as you work leaves gaps on data storage media. Instead of each file being stored in one continuous block, it ends up in several locations, resulting in inefficient retrieval of your data. As you add more data to your hard drive, the gaps left by previous deletions are filled. Your file becomes split, or fragmented. This will slow down your system - when you try to retrieve a file, the process is slower than if it was stored in one block. To make your disk storage more efficient, a process called “defragmenting” is used.

Windows has a built in defragmenter, which is located at:

Start > Programs > Accessories > System Tools > Disk Defragmenter

It is a good idea to run this program once a month. When you run the defragmenter, close all programs including your screensaver. If programs are running it can cause data on your hard drive to be changed which makes the defragmenter start from the beginning… and never finish!

The more frequently you use defrag, the faster it will become.
